Terms of Use

Thank you for using the services of Aicel Technologies Co., Ltd. (‘Aicel’, ‘we’, ‘us’, or ‘our’).
These Terms of Use set forth general provisions about the rights, duties and responsibilities, conditions and procedures in using Aicel’s services (‘Aicel’, or ‘the Services’).

If you do register for or otherwise use our Services, you shall be deemed to confirm your acceptance of the Terms and your agreement to be a party to this binding contract. Please take a moment to read these Aicel Terms of Use carefully.

The definitions of the words and terms used in these Terms of Use are as follows:

  1. ‘Services’ means all services offered by Aicel.
  2. ‘User’ means a member or non-member who uses the Services provided by Aicel.
  3. ‘Member’ means an individual or a legal entity who signs in with the Service Contract, applies for a User ID, and gets authorized by Aicel to access and use. Aicel’s services in accordance with these Terms of Use.
  4. ‘ID’ means a combination of texts and numbers set by Member and approved by Aicel for the purpose of Member identification and Member’s access to the Services.
  5. ‘Password’ means a combination of texts and numbers set by User while signing in to manage and protect privacy of Member.
  6. ‘Administrator’ means the person who is assigned by Aicel in order to secure operation of Services.
  7. ‘Service fee’ means the fees that Member pays in order to use Aicel’s paid services.
  8. ‘Termination’ means the act of terminating the Service Contract by either member or Aicel.
  9. For the terms used in these Terms of Use but not defined in the this section, the industry practice and relevant laws shall apply.

Your access to Aicel Services is conditioned on your acceptance of and compliance with these Terms.

  1. We grant you a private, non-transferable, and non-exclusive license to use the Services in compliance with these Terms of Use. We reserve the rights to modify or suspend the features and functionality of the Services in order to build them better. We may provide the Users with all or portions of the Services based on individual contracts and other conditions such as Service Fee, user status, registered information, or other terms that we decide on.
  2. Your access to and use of the Services must be compliant with all applicable laws and regulations as well as any and all agreements or other obligations you enter into with us. We prohibit you from engaging in any of the following acts when using the Services: Acts of unauthorized or improper collection, disclosure, or provision of any other User’s personal information; acts of posting or transmitting excessively violent or explicit sexual expressions that amount to pornography; acts that infringe rights(including, without limitation, copyrights) and benefits of a third party; and acts that may be in violation of public order, morals, or customs.

You are not allowed to provide information and data obtained through Aicel Services to third parties.

  1. You must not reproduce any information and data obtained through the Services and provide such information to any third party without our prior consent. You will not collect and process data, and offer them to any third party for a commercial purpose. Even if you disclose any information and data from our Services with our prior consent, it must be the case that you hold the copyrights for the data; we are not legally responsible for your violation of these Terms.
  2. Your rights to access and use our Services do not grant you the copyrights for the data obtained through the Services. However, if the data obtained is sourced from Korea’s Public Data, its utilization is in compliant with Enforcement Decree of the Act on Promotion of the Provision and Use of Public Data (Enforcement Date 26.   3. Except as otherwise permitted by Aicel, you must not directly, indirectly, or through automated or other means: (a) copy, modify, distribute, resell, transfer, rent, lease, and pledge any element of our Services or software included in the Services to third parties; (b) reverse engineer any aspect of our Services or do anything that may discover source code; (c) reproduce, display, or make any derivative works based upon all or portions of our Services.
  4. Failure to comply with these Terms, our policy, and all applicable laws will result in an investigation on your account or in suspension and potential termination of your access to our Services.

Your data may be processed to build better Services.

  1. To utilize operation and promotion of our Services, and develop our Services better, we need to have a legitimate right on your data.
  2. We may collect and process information on your usage of our data and Services. We may use them for our business purpose, or we may display such information in a statistical or de-identified manner. Our efforts and other details related to safely process relevant information of you can be found in our Privacy Policy.

You may terminate your Membership at any time.

  1. Although it is a pity for Aicel, you may withdraw from Aicel membership at any time, and in such case, all your personal information will be deleted unless applicable laws and/or privacy policy require us to retain your information. Please email us at customer@aiceltech.com and we will deactivate your membership.

Aicel is trying its best to provide its Services in a stable manner.

  1. While we will use commercially reasonable efforts to provide the Services in a stable manner 24 hours a day, all year around, except (a) during planned downtime for any significant operational issues such as maintenance and repair; and (b) force majeure events. If these events can be foreseen, we will try our best to give you advance notice as far as the situation allows.
  2. However, to the maximum extent permitted by applicable laws, we clearly deny any promise or guarantee that is not specified in these Terms of Use; we do not warrant that our Services have certain features, functionality, or effectiveness.
  3. We will not be liable for you or any third party for:
    ① any physical injury resulting from access to and use of the Services,
    ② any loss incurred by unauthorized, unverified access to and use of your account or Aicel servers by a third party,
    ③ any loss caused by interruption or suspension of the Services by a third party,
    ④ any loss incurred by bugs, viruses, Trojan horses, or any other similar harmful software that are sent by a third-party,
    ⑤ Any loss incurred by data loss or damage,
    ⑥ any loss caused by you (inclusive but not limited to defamation) in the process of a third party’s using the service.
  4. To the maximum extent permitted by applicable laws, even if we provide with advice or alert on the potential loss or damage in advance, we will not be liable for any lost profit, lost revenue, lost deposit, and other indirect, incidental, special, exemplary, consequential or punitive loss or damages incurred.
  5. You acknowledge that the aggregate liability of Aicel will not exceed the total amount paid by you.

We may modify these Terms of Use.

  1. These Terms of Use will be effective as we display these Terms of Use, name and location of the business, name of the representative and its contact (phone number, fax number, and email address) on the website, or as we notify you of them by other means.
  2. We may modify these Terms of Use from time to time, provided that there are significant operational issues that may require such modifications and such modifications will only be made to the extent they do not violate any applicable laws including Act on Electronic Documents and Transactions, Digital Signature Act, Act on Promotion of Information and Communications Network Utilization and Information Protection, etc., Act on Door-to-door Sales, and Consumer Protection Act.
  3. In the event of modifications of these Terms of Use, We shall notify you of the current Terms, reasons for such modifications, and date being effective via our website or other means. Contracts that were signed before the date of such modifications still will be governed by the Terms of Use at the time of signing.
  4. You may request a deactivation of membership if you disagree with the modified Terms of Use. By continuing to access or use the Services after those revisions become effective, you agree to be bound by the revised Terms.
  5. For the issues that are not defined in these Terms of Use and interpretation of these Term of Use, industry practice and relevant laws shall apply.
